Terms of Service

These Terms of Service govern the access to and use of the website, services and products of MACTEC (hereinafter, "Mactec", "we" or "the Company"). By accessing the site or contracting our services, you fully accept these Terms. If you do not agree with any of its provisions, you must refrain from using the site and the services.

1. Acceptance of the Terms

The use of this website and the contracting of Mactec's services imply the full and unreserved acceptance of these Terms, as well as of our Privacy Policy. These Terms are binding between Mactec and the user or client.

2. Description of the service

Mactec offers services and products related to artificial intelligence, software development, strategic consulting, process automation and custom digital solutions. The specific scope, deliverables, deadlines and considerations of each service are defined in the contract, commercial proposal or service order you sign with us.

3. Use of the service

The user undertakes to use the website and Mactec's services in a lawful manner and in accordance with the following commitments:

  • Not to use the site or the services for unlawful, fraudulent or bad-faith purposes.
  • Not to attempt unauthorized access to systems, servers, accounts or data of Mactec or third parties.
  • Not to introduce viruses, malware or other elements that may damage the infrastructure or the services.
  • Not to perform reverse engineering, decompilation or unauthorized copying of the software, methodologies or materials owned by Mactec.
  • To provide truthful, complete and up-to-date information when requested in forms or contracting processes.

4. Registration and accounts

When a service requires the creation of an account or credentials, the user is responsible for the confidentiality and proper use of their access keys. You must notify us immediately of any unauthorized use of your account. Mactec shall not be liable for damages arising from the misuse or disclosure of credentials by the user.

5. Intellectual property

All contents of the site and Mactec's products, including texts, images, logos, trademarks, interfaces, source code, documentation, methodologies and designs, are owned by Mactec or its licensors and are protected by Chilean and international legislation on intellectual and industrial property.

The use of the site does not grant the user any exploitation right over the aforementioned contents. Their reproduction, distribution, public communication, transformation or any other act of exploitation is prohibited without the prior and express authorization of Mactec.

The specific deliverables developed in favor of a client shall be governed by the provisions of the corresponding contract.

6. Contracting of services

The contracting of specific services is formalized through a contract, commercial proposal or service order that complements these Terms. In the event of a discrepancy between the particular contract and these Terms, the provisions of the particular contract shall prevail in those matters that are more specific.

7. Payments and invoicing

The economic conditions, payment milestones, currency, applicable taxes and invoicing mechanisms are established in the respective proposal or contract. Late payments may give rise to interest, the suspension of the service and/or the collection of recovery expenses, in accordance with what has been agreed and with applicable Chilean legislation.

8. Confidentiality

Mactec and the client reciprocally undertake to maintain in strict confidence the technical, commercial, financial or any other information accessed on the occasion of the contractual relationship. This obligation shall remain in force during the execution of the contract and for the additional term agreed upon, even after termination of the relationship.

9. Warranties and service level

Mactec undertakes to provide the services with the diligence proper of an expert professional, in accordance with industry standards. Except as expressly agreed in writing, the services are provided "as is" and Mactec does not grant implied warranties of merchantability, fitness for a particular purpose or absence of defects, beyond those established by applicable mandatory legislation.

10. Limitation of liability

To the maximum extent permitted by law, Mactec shall not be liable for indirect damages, lost profits, loss of data, loss of business opportunities or consequential damages arising from the use or inability to use the site or the services.

Mactec's total liability to the client for any matter related to the services shall be limited to the amount actually paid by the client for the specific service that gave rise to the claim during the twelve (12) months prior to the triggering event, unless imperative legal provision to the contrary.

11. Suspension and termination

Mactec may suspend or terminate access to the site or the services in case of breach of these Terms, of the particular contract, or when there are well-founded reasons of security, legal or regulatory nature. Termination shall be carried out in accordance with the procedures and deadlines established in the respective contract.

12. Modifications

Mactec reserves the right to modify these Terms at any time. Modifications will be published on this same page and will indicate the date of the last update. Continued use of the site or services after the publication shall imply the acceptance of the modifications.

13. Applicable law and jurisdiction

These Terms are governed by the laws of the Republic of Chile. Any controversy arising from their interpretation or execution shall be submitted to the jurisdiction of the ordinary courts of justice seated in the city of Santiago, without prejudice to any arbitration that may be agreed upon in particular contracts.
